Chapter 4
The Sale That Couldn't Close
Margaret enlarged the financing statement on her monitor.
The secured party was Cascadia Private Capital. The debtor was Mercer Ridge Agricultural Holdings, LLC. Under collateral, the filing listed equipment, inventory, accounts receivable, crops, contract rights, and proceeds.
At the bottom was a reference number for a loan agreement.
“One point two million dollars,” Margaret said.
I stared at the figure. “The orchard never borrowed that money.”
“Grant says it did.”
“Thomas and I would have discussed a loan of twelve thousand dollars. We would have argued over twelve hundred. There is no world in which he borrowed one point two million without telling me.”
Margaret checked the filing date.
“This was recorded two days after Thomas died.”
“Using the transfer papers to show Grant controlled the company.”
“That would be my concern.”
I took out the prepaid phone Sam had sold me and called Nora Bell, our outside accountant. She answered with a whisper.
“Elaine? Grant told me you were unavailable.”
“I am available now. I need every bank statement, loan document, and wire confirmation for Mercer Ridge from January first forward.”
“There are permissions on the account I didn't approve.”
“Then we start there.”
Nora hesitated. “Grant sent me a board consent with Thomas's signature. It added him as an authorized manager. I asked Thomas about it, but Grant said the medication made phone calls too tiring.”
I closed my eyes for one breath.
“Send everything to Margaret. Do not alert Grant.”
By four that afternoon, Northline Communities had received formal notice that the proposed development involved disputed title, incomplete access rights, and possible forged documents. Margaret filed an emergency request to stop any sale, transfer, or new borrowing tied to the orchard.
I signed the verification myself.
Northline's attorney joined us by video before the filing reached the courthouse. He introduced himself as Mark Ellison and began by saying his client had negotiated in good faith.
“With whom?” I asked.
“Grant Mercer, acting as managing member.”
“Did Grant tell you eighteen acres were separately owned?”
Ellison glanced offscreen. “The title package represented unified control.”
“Did it show the reservoir and pump house?”
“Yes.”
“Then your package showed property Grant never owned.”
He asked whether I would consider joining the sale if Northline adjusted the payment.
“You have mistaken my notice for an opening bid,” I said. “It is not.”
Margaret sent him the recorded map while we were still connected. His expression changed when he saw the access strip cutting through my parcel.
“Northline will pause field work pending review,” he said.
“Put that in writing,” I replied.
“You should rest,” Margaret said after the papers left her office.
“I rested while my children built this.”
“You buried your husband yesterday.”
That stopped me.
Grief had become a room I kept walking past because every other door was on fire.
“I know,” I said.

Margaret found me a furnished apartment above Bellweather Bakery on Main Street. It had one bedroom, a narrow balcony, and a kitchen small enough that I could touch both counters without taking a step.
I could have demanded police escort me back to the farmhouse. I chose not to. Until a judge clarified control, I would not give Grant a chance to turn a confrontation into proof that I was unstable.
The bakery owner left soup outside my door. I ate three spoonfuls and slept in my clothes.
At nine the next morning, Margaret called.
“The judge signed the temporary order. No one can sell, transfer, further encumber, or materially alter the disputed property until the hearing.”
I sat up. “Northline?”
“Suspended its due diligence. Their counsel wants a title conference this afternoon.”
My phone began vibrating while she spoke.
Grant.
I declined the call.
He called again.
Then a text appeared.
You are embarrassing this family. Call me before you make things worse.
I took a screenshot and sent it to Margaret.
Brooke's message came ten minutes later.
Mom, please. Northline is threatening to walk. We can still fix this if you stop listening to Margaret.
Not one word about the road.
Not one question about whether I had water, shelter, or a safe place to sleep.
Only the money slipping away.
I saved that message too.
At noon, Nora arrived carrying a laptop and a banker box. Her face looked gray.
“I found the loan proceeds,” she said.
The $1.2 million had entered an orchard account eight days earlier. Two hundred thousand dollars had paid legitimate operating bills. Another $90,000 had gone to an equipment supplier for machines we had never ordered.
The remaining $910,000 had been wired to three entities Nora did not recognize.
Margaret searched the first entity.
It shared a Portland address with Grant's firm.
“Can we prove he controls it?” I asked.
“Not yet,” Nora said. “But the transfer memo says 'project stabilization.' It has nothing to do with fruit, payroll, or the packing house.”
“When is the loan due?”
“It is a bridge facility tied to the Northline closing. If the sale fails, the lender can accelerate.”
Grant had not merely promised to sell our orchard.
He had already spent the sale before it happened.
Margaret closed the banker box. “We add the financing statement and account restrictions to the injunction request. Nora, preserve the original downloads and access logs.”
“Already done,” Nora said.
I looked at both women. “And payroll?”
Nora blinked. “Friday.”
“Miguel has fourteen people expecting checks. No legal filing picks fruit or pays a crew. Find out exactly what remains liquid and which customer invoices can be collected early.”
That afternoon, Northline's attorney confirmed the company would spend no more money and take no further action until title was clear. It was the first clean victory I had felt.
It lasted three hours.
At six, someone knocked on the apartment door.
A process server stood in the hallway holding a thick envelope.
Grant had filed a petition asking the court to appoint him temporary guardian and financial conservator for me. He claimed I was confused by grief, unable to manage complex assets, and being manipulated by Margaret.
Attached were examples of my supposed decline: a missed family dinner, two repeated questions during Thomas's final week, and my refusal to enter Willow Creek.
The final page was a sworn supporting statement.
I recognized the looping B before I read the name.
Brooke Mercer.
My daughter had signed it.
